1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Staff Rodeo Inc. (“Staff Rodeo,” “Company,” “we,” “us,” or “our”) regarding your access to and use of our staffing technology platform and related services (collectively, the “Services”).
By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use our Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. In that case, “you” and “your” refer to the entity.
2. Service Description
Staff Rodeo operates a comprehensive staffing technology platform designed to streamline recruitment, workforce management, and staffing operations for organizations across various industries. Our Services include, but are not limited to:
- Candidate sourcing and recruitment management tools
- Applicant tracking and screening capabilities
- Workforce scheduling and deployment systems
- Client and candidate relationship management
- Reporting, analytics, and business intelligence features
- Integration services with third-party platforms
We reserve the right to update, improve, or modify features of the Services at our discretion. Some features may be subject to additional service-specific terms.
3. User Accounts and Registration
To access certain features of our Services, you must create and maintain a user account. By registering for an account, you represent and warrant that:
- All registration information you submit is accurate, current, and complete
- You will maintain the accuracy of such information and promptly update it as necessary
- You have the legal capacity to enter into these Terms
- You are at least 18 years of age or the age of majority in your jurisdiction
- You are not prohibited from using our Services under applicable law
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate any account that provides false, misleading, or incomplete information.
4. Acceptable Use Policy
You agree to use our Services in compliance with all applicable laws, regulations, and these Terms. You expressly agree not to:
- Use the Services for any unlawful, fraudulent, or unauthorized purpose
- Violate any applicable local, provincial, national, or international law or regulation
- Interfere with, disrupt, or create an undue burden on our Services or networks
- Attempt to gain unauthorized access to our systems, accounts, or networks
- Upload, post, or transmit any viruses, malware, or other malicious code
- Engage in any form of automated data collection or scraping
- Impersonate any person or entity or misrepresent your affiliation
- Distribute spam, unsolicited communications, or promotional materials
- Violate the privacy or rights of any third party
You are responsible for all content you upload or transmit through the Services. You grant us a non-exclusive license to use, host, store, and process such content solely for the purpose of providing the Services.
5. Intellectual Property Rights
The Services, including all content, features, functionality, software, text, graphics, logos, and other materials, are owned by Staff Rodeo, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services solely for your internal business purposes. This license does not include any right to resell or make commercial use of our Services or their contents.
All rights not expressly granted in these Terms are reserved by Staff Rodeo. You may not copy, modify, reverse engineer, or create derivative works of our software or Services except as expressly permitted by law.
6. Payment Terms and Billing
Certain aspects of our Services require payment of fees. All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Payment terms include:
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are exclusive of applicable taxes, which you are responsible for paying
- Fees are generally non-refundable except as expressly stated or required by law
- We reserve the right to modify our pricing with thirty (30) days’ written notice
- Failure to pay fees may result in suspension or termination of Services
By providing payment information, you authorize us (and our payment processors) to charge all applicable fees. You are responsible for providing accurate billing information and keeping it up to date.
If you dispute any charges, you must notify us in writing within 30 days after the billing date, otherwise the charges will be deemed accepted.
7. Term and Termination
These Terms commence on the date you first access our Services and remain in effect until terminated. Either party may terminate this agreement at any time with or without cause, subject to any applicable notice requirements in your service agreement.
We reserve the right to suspend or terminate your access to our Services immediately, without prior notice, if you breach any provision of these Terms or engage in conduct that we determine, in our sole discretion, to be inappropriate or harmful to our business or other users.
Upon termination, your right to use the Services will immediately cease. Certain provisions, such as ownership, confidentiality, disclaimers, indemnity, and limitations of liability, will survive termination.
8. Disclaimers and Limitation of Liability
Our Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, Staff Rodeo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use our Services.
In no event shall our total liability exceed the amount paid by you to Staff Rodeo in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for fraud, intentional misconduct, or death/personal injury caused by negligence.
9. Indemnification
You agree to defend, indemnify, and hold harmless Staff Rodeo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our Services or your violation of these Terms.
This indemnity will survive termination of these Terms and your use of the Services.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Ontario, Canada, and the parties hereby consent to personal jurisdiction and venue therein.
If you are a consumer located outside Canada, mandatory consumer protection laws of your jurisdiction may apply in addition to these Terms.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to users through email notification or prominent notice within our Services at least thirty (30) days before the effective date. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

12. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, such provision will be modified to reflect the parties’ intention, and the remainder of these Terms will remain in full force and effect. These Terms, together with our Privacy Policy and any service-specific terms, constitute the entire agreement between you and Staff Rodeo.
